About Us

Welcome to the Pharos Law Podcast, featuring an attorney’s view of the world…(at least the part relating to estate planning, business law and things like that.) We also talk about stuff outside of the legal world. Let’s face it, attorneys see things differently, for better or worse. So listen, and maybe you’ll learn something. (Listeners should beware of sarcasm and attempted humor.)

Why should you use a written contract?

Afterall, aren’t verbal agreements enforceable? The short answer to that second question is yes (sometimes). Verbal agreements can be legally enforceable, but such enforcement is often quite difficult. Therefore, even though you CAN enforce a verbal agreement, at least some of the time, I would suggest that in many business transactions, you do not want to rely on an oral agreement or a “handshake deal.”

Is a single member LLC required to have an operating agreement?

Why should a single member need a rulebook for himself or herself? Fair point. However, please remember that an LLC operating agreement is more than just a “rule book” for the LLC. Also, keep in mind that what is today a sole owner business entity will, hopefully, grow and expand over the course of time. Foundations are best laid in the beginning.

McDonald's and the Emergency Room--what they have in common but also why you will never see drive-through brain surgery

In this era of on-demand services, along with all-access TV and movie resources and all the other things instantly accessible via the internet, we sometimes find that clients and customers have unrealistic ideas about similar on-demand access to professional services. Some people fail to comprehend why their accountant or their dentist is not “on-demand” just like their XFINITY movie collection.

"Discourage litigation. Persuade your neighbors to compromise whenever you can. Point out to them how the nominal winner is often a real loser — in fees, expenses, and waste of time."

Sticking a fork in the toaster (the self-help planning equivalent)

For the transfer of highly-appreciated assets, such as real estate and stocks, it is rarely wise to give such assets to individuals during life. Doing such lifetime transfers can result in substantial capital gains tax bills which could otherwise be avoided with a little planning.

honesty in business

Why do we see so much dishonesty in business and the world in general? What can we do about this? Are there things that can be done to encourage and incentivize people and companies to be more honest? Yes, according to Dr. Wagner in a recent TED talk, which we discuss in this short podcast episode. The works and views of Adam Smith and Immanuel Kant are cited during this episode.

Is this the end of Geoffrey the Giraffe? (Toys “R” Us Bankruptcy)

Chapter 11 bankruptcy is somewhat like going to the hospital for a major medical procedure. But this does not equate to a trip to the mortician. The theory behind a chapter 11 bankruptcy filing is that it is available for people or companies to use as a refuge and forum to enable such “debtor” to get its act together, reorganize and then emerge from bankruptcy with a fresh start.

Its ok to be an introvert. Really, it is.

It is estimated that one-third to one-half of all human beings are introverts. Scientists have discovered that the structure and manner of operation of introvert brains are different than that of extrovert brains. In other words, biology is at work here; this is not just a matter of someone making a conscious decision to be an introvert or extrovert.
